Paramount has launched a hostile takeover offer for Warner Bros. Discovery as it seeks to upend the latter company's $72 billion deal with Netflix.
Paramount's offer is $74.4 billion.
In its appeal to shareholders, Paramount officials said the deal is less likely to be heavily scrutinized by the Trump administration.
