A shareholder of Denver-based Heartland Financial USA Inc. (Nasdaq: HTLF) has filed suit in an attempt to block a proposed acquisition by Kansas City-based UMB Financial Corp. (Nasdaq: UMBF).
Mary Michenzie, the Heartland shareholder, alleged Exchange Act violations, claiming Heartland did not provide enough information about how the sale price to UMB was determined.
The all-stock transaction is valued at $2 billion and is expected to be completed in first-quarter 2025, according to past reporting.
