At the Dec. 10 meeting, shareholders elected Ron Jones, who was on the Decorize board from May 2004 to August 2005 and previously was chairman, president and CEO of Sealy Inc.; and Richard Chalker, who has been a director since May 2004 and previously was division vice president of tax and customs for Hallmark Cards Inc.
The board then met Dec. 12 and increased its number of seats by one. Caroline Hipple, former president and chief operating officer of national retailer Storehouse, was elected.
“All three of these seasoned executives serve as independent directors of Decorize,” CEO and President Stephen Crowder in a news release. “We look forward to a busy new year for the company, one in which we expect to continue to increase efficiencies with our new plant in Indonesia, continue to serve our retailer customers with shortened delivery times of custom orders and remain on the leading edge of the market by identifying trends and developing product significantly faster than others.”
Also this week, holders of Decorize preferred stock, voting as a single class, were able to elect two members to the board. Springfield-based SRC Holdings Corp. currently holds all outstanding shares of preferred stock, and it elected Crowder and Quest Capital Alliance LLC general manager Steven Fox.
All directors serve one-year terms.
