Total compensation for Jack Henry & Associates Inc.'s (Nasdaq: JKHY) top executives was roughly $17.3 million in fiscal 2025, according to a preliminary proxy statement filed Sept. 22 with the U.S. Securities and Exchange Commission.
The proxy statement details compensation for five named executives: Executive Board Chair and former CEO David Foss; President and CEO Greg Adelson; Chief Financial Officer and Treasurer Mimi Carsley; Chief Legal Officer and Secretary Craig Morgan; and Senior Vice President and Chief Operating Officer Shanon McLachlan . Total compensation comprises multiple sources, including salaries and stock awards.
Total compensation was down from $19.8 million among Jack Henry's top five officers in fiscal 2024, according to past reporting. However, some of the named executives in this year's proxy statement were in different positions when compensation was totaled for fiscal 2024.
Adelson was Jack Henry's top-paid executive in fiscal 2025, with total compensation of over $7 million, up from $3.2 million in fiscal 2024, according to the proxy statement. Fiscal 2025 was Adelson's first as CEO after he previously served as the company's president and COO.
The five named executive officers, by total compensation in fiscal 2025, are as follows:
• Adelson, $7.02 million, up from $3.2 million a year earlier
• Foss, $3.5 million, down from $11 million
• Carsley, $3.1 million, up from $2.8 million
• McLachlan, $1.9 million, not previously a named executive
• Morgan, $1.83 million, up from $1.8 million
Jack Henry, a Monett-based financial software company, reported fiscal 2025 net income of $455.7 million, an increase from $381.8 million in fiscal 2024, according to past reporting.
JKHY shares were trading at $150.55 as of 11:04 a.m., compared with a 52-week range of $149.39 to $196 per share.
