Canadian National Railway Co. shareholder TCI Fund Management Ltd. is threatening a proxy battle to end the company's pursuit of Kansas City Southern.
Such a proxy battle would focus on replacing CEO JJ Ruest, among other board changes.
Canadian National’s bid to acquire KC Southern recently was dealt a blow by the Surface Transportation Board, which denied its proposed use of an independent voting trust as part of the $33.6 billion deal. KC Southern on Saturday indicated it would renew talks with Canadian Pacific Railway Ltd., which has been in a bidding war with Canadian National for the company.
